These Terms of Service (“Terms”) govern your use of the website www.Polystate.io, the Polystate platform, and all services provided by Amagi Labs LLC, operating under the business name “Polystate” (“Polystate,” “we,” “us,” or “our”). By accessing the Platform, using any of our services, or creating an account, you agree to be bound by these Terms.
1. About Us
Amagi Labs LLC is a limited liability company organized under the laws of the State of Wyoming, United States. We provide access to digital services related to second residency acquisition, company formation (primarily in the United States), and assistance with opening foreign bank accounts. These services are delivered directly or in partnership with verified and trusted external providers. We act as a facilitator and digital services provider.
By accessing this Platform or creating an account, you acknowledge and accept these Terms in full.
2. User Eligibility and Obligations
Our services are intended exclusively for users who are 18 years of age or older. We reserve the right to refuse service to any individual at our sole discretion.
Users are obligated to:
- Provide accurate, truthful, and complete information at all times
- Maintain the confidentiality of their account credentials
- Refrain from impersonating others or providing false identification
3. Scope and Process of Services
Polystate provides:
- Access to our internal legislative monitoring platform
- Assistance with second residency applications through verified partners
- Company formation services, particularly U.S.-based LLC structures
- Support with offshore or foreign bank account openings via licensed intermediaries
- Administrative automation for tax filings and visa applications
Service Fulfillment Process:
- Order Placement: Users order services directly through the Polystate platform.
- Payment Options: After selecting a service, users are directed to a secure payment gateway offering debit/credit card, bank wire, or cryptocurrency options.
- Data Vault Activation: Upon successful payment, a personal secure data vault is activated within the user's account. This is where users are required to upload the necessary identification documents and any supporting materials needed for the selected service(s).
- Private Communication Channel: The user is then invited to a private Telegram chat or will be contacted via email, depending on their choice, specific to their order. In this communication channel, users may ask questions, and Polystate may request further clarifications, documents, or instructions required to proceed with the fulfillment of the service.
Due to the nature of our services, many of which involve working with government agencies, embassies, and administrative bodies, processing times may vary, and delays are possible. Polystate cannot be held responsible for delays, rejections, or any other procedural issues caused by:
- Internal processing times or administrative delays on the part of government or banking institutions
- Incomplete, inaccurate, or withheld information or documents submitted by the user
We are a global mobility advisory firm. We emphasize that we are not a law firm, tax advisor, or financial advisory service. We do not provide legally binding advice, nor are we affiliated with any governmental body. Information on our platform is provided for general informational purposes only. Each specific service provided may be governed by a separate written agreement or contract between the user and Polystate or our partners.
Nature of Services (Digital Platform + Human-Delivered Fulfillment)
Polystate provides access to a digital platform for promotion, communication, onboarding, AI tools, and document submission. The digital tools available through the platform are accessible free of charge upon the creation of a user account. However, the core services we offer, such as residency programs, company formation, bank account opening, administrative coordination, and personalized guidance, are performed manually by qualified personnel and are not supplied in an automated or purely digital form.
The Platform is an interface for ordering and communicating, but the actual service is delivered through human work, case handling, coordination with third-party providers, and individualized manual processing. As such, our services do not constitute “electronically supplied services” under EU VAT legislation.
Company formation and related services
Third-Party Registered Agent & Address Services
Polystate does not itself provide registered agent or address services. Any registered agent service or business address provided through our platform is facilitated by independent third-party service providers, not by Polystate directly. These third-party providers operate independently and are not employees, agents, or affiliates of Polystate. Polystate makes no warranties regarding the services of these independent providers and assumes no liability for their acts or omissions. Your use of the registered agent and address services is subject to the third-party provider's own terms and policies, which you are solely responsible for reviewing and complying with.
Proper Use of Provided Addresses
Any registered agent address or business address obtained through Polystate's services must be used only for official and lawful purposes related to your business's formation and compliance obligations. The provided address is primarily for receiving legal correspondence and official government notices on your company's behalf (e.g. service of process or state communications). It is not a general-purpose business or personal mailing address. You shall not use the provided registered agent address for purposes outside the scope of the service. Discouraged and prohibited uses include:
- Personal Mail Forwarding: Do not use the address to receive personal mail or other communications unrelated to official state or legal communications. The address is not a mail forwarding service for your day-to-day mail or packages.
- Banking or Identity Verification: The address may not be used as your proof-of-address for opening bank accounts, credit lines, or other identity verification purposes. Financial institutions typically reject registered agent addresses for verification, and using it in this way is discouraged.
- Public Business Address: We strongly discourage advertising or misrepresenting the provided address as your principal place of business. For example, do not list the registered agent's address on your website, business cards, or marketing materials as if it were your operating office or headquarters. We recommend obtaining a dedicated real or virtual mailing address to be used for such purposes.
Using the service address in any of the above unauthorized ways is a violation of these Terms of Service, and you are solely responsible and liable for any legal or non-legal consequences that may arise from using the service address in any prohibited or discouraged manner.
User Responsibility and Consequences of Misuse
You are solely responsible for all uses of the registered agent and address service associated with your account. Any misuse or unauthorized use of the provided address (including the prohibited uses outlined above) may result in immediate termination of the service and your account. The independent registered agent provider reserves the right to resign as your agent if you misuse their address or violate their terms. You agree that Polystate or the third-party provider may take appropriate action – including cancellation of services without refund – if the address is used improperly. Furthermore, you assume all liability for any consequences of misuse, such as mail not being delivered, rejection of bank or government filings, or regulatory penalties. Polystate and its partners will not be liable for any losses or legal penalties that result from your improper use of the registered agent address. If any costs, fines, or damages are incurred by Polystate or the third-party provider due to your misuse, you agree to reimburse and make them whole for those amounts.
Corporate Transparency Act (Beneficial Ownership) Compliance
Polystate does not assume responsibility for compliance with the U.S. Corporate Transparency Act (CTA) or any Beneficial Ownership Information (“BOI”) reporting requirements on your behalf. You are solely responsible for understanding and fulfilling your obligations under the CTA and related regulations. This includes timely filing of any required BOI reports with the Financial Crimes Enforcement Network (FinCEN) or other authorities. Polystate's services (such as entity formation assistance) do not include acting as a “Company Applicant” or filing agent for purposes of the CTA. You acknowledge that Polystate is not your Company Applicant as defined in the CTA, and Polystate will not be listed as such on any formation documents or BOI reports. By using our services, you agree that you will handle any necessary BOI filings and compliance. Polystate disclaims any liability for penalties, fines, or consequences arising from your failure to comply with the Corporate Transparency Act. We strongly encourage you to consult with a qualified professional to ensure you meet all CTA requirements for your business.
Independent Service Providers
For clarity, when Polystate connects you with third-party services (including registered agents, mailing address providers, or any other vendors), those services are provided by independent third parties. Nothing in these Terms creates an agency, partnership, or employment relationship between Polystate and the third-party providers. Third-party providers are not authorized to speak for or bind Polystate in any way. Polystate is not responsible for the actions, errors, or omissions of any third-party service, and you use such services at your own risk. Any disputes or issues arising from third-party services must be resolved between you and the third-party provider. Polystate may assist in facilitating communication or support as a courtesy, but Polystate has no control over third-party providers and disclaims all liability for their performance.
Indemnification
You agree to indemnify, defend, and hold harmless Polystate and its officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of Polystate's services or any third-party registered agent/address service; (b) your violation of these Terms of Service or the terms of any third-party provider; (c) your violation of any applicable law or regulation (including but not limited to any Corporate Transparency Act reporting obligations); or (d) any misuse of the provided address or third-party services that results in legal action or regulatory consequences. This indemnification obligation means that if Polystate or its affiliates incur any loss or expense because of something you did (or failed to do), you will reimburse Polystate for those losses and costs. We will promptly notify you of any such claim and may allow you to assist in the defense, but Polystate reserves the right to assume exclusive defense and control of any matter subject to indemnification by you (without limiting your indemnification obligations).
No Guarantee of Formation Outcomes
Polystate provides services to assist with business formation (such as preparing and submitting documents to government agencies) and to connect you with third-party registered agent services. However, Polystate does not guarantee any particular outcome or result from these services. By using our platform, you acknowledge and agree that success in forming a business entity (e.g. approval of your LLC or corporation by a state agency) is subject to review and processing by government authorities outside Polystate's control. Polystate makes no guarantee regarding processing times, government approval, or the success of any filing or registration. Any time frames or expectations provided by Polystate (for example, typical processing durations) are estimates only and not binding guarantees. Likewise, Polystate cannot and does not guarantee that using a third-party registered agent address will satisfy all situations (for instance, some banks or institutions may still require additional proof of address). All services are provided “as is” without any warranty of outcome. You agree that you will not hold Polystate liable for any delays, rejections, failures, or other outcomes in the formation or compliance process, as long as Polystate has not violated any express obligations under these Terms. In summary, no results (such as state approval of your filing or a particular timeline) are promised by Polystate, and you assume the risk of any government or third-party decisions affecting your business registration.
VAT Treatment for EU Users
- For EU business customers (B2B): Services are supplied on a reverse-charge basis in accordance with Articles 44 and 196 of the EU VAT Directive - Council Directive 2006/112/EC of 28 November 2006 on the common system of value added tax. The customer is responsible for self-assessing VAT in their own Member State.
- For EU consumer customers (B2C): Because our services are manually fulfilled, personalized, and not automated digital services, they do not fall under the OSS regime for electronically supplied services. VAT obligations, if any, follow the general place-of-supply rules for consultancy and support services. The place of supply is the United States, where Polystate is established. As such, we are not registered under the EU OSS regime, and no EU VAT is charged.
4. User Conduct and Platform Use
Misuse of the platform is strictly prohibited. Users must not:
- Use the platform for illegal, fraudulent, or deceptive activities
- Attempt to access restricted areas or reverse-engineer functionality
- Interfere with the platform's integrity or security
All users are solely responsible for the accuracy and legality of the information they submit and the actions they take using the Platform.
5. Pricing and Refund Policy
We reserve the right to modify the pricing of our services at any time. Pricing is made available either directly on the platform or upon request.
Refunds, where applicable, are processed in accordance with EU consumer protection regulations and any relevant local laws, particularly for digital services provided to consumers within the European Economic Area (EEA). If a separate service agreement exists, the applicable refund or cancellation terms therein shall prevail.
6. Intellectual Property Rights
All content, design elements, source code, documentation, and materials made available on the Platform are the exclusive property of Amagi Labs LLC. Any unauthorized copying, distribution, republication, or reverse-engineering of these materials is strictly prohibited.
7. Account Suspension and Service Termination
Polystate reserves the right to suspend or terminate any user account or deny service at its sole discretion, including but not limited to cases of violation of these Terms, suspected fraud, or misuse of the platform.
8. Limitation of Liability
Polystate shall not be held liable for:
- Any direct or indirect damages arising from the use of or reliance upon information provided through the Platform
- Any user's legal, tax, immigration, or financial decisions made as a result of engaging with our services
- Any acts or omissions of third-party service providers or partners
- Any issues arising from delays, errors, or rejections on the part of external government agencies or institutions
- Any consequences caused by the user's failure to provide accurate, complete, or timely documentation
Nothing on the platform should be interpreted as legal, tax, or financial advice under any jurisdiction.
9. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Wyoming. All disputes arising from or in connection with these Terms shall fall under the exclusive jurisdiction of the state courts of Wyoming.
10. Amendments to Terms
Polystate reserves the right to modify or update these Terms at any time. Any changes will be posted to this page with a revised effective date. Your continued use of the Platform following such changes constitutes your acceptance of the updated Terms.
